Praxis is a white-label SaaS platform operated by RTW Advisors LLC ("RTW Advisors," "we," "us," or "our") that provides AI-powered firm operations infrastructure for accounting and CPA firms ("Firm," "Subscriber," "you"). The platform includes email and calendar intelligence, bookkeeping automation, workpaper generation, monthly close orchestration, and (on Enterprise tier) virtual twin video delivery. Praxis is deployed at rtwadvisors.net.
Praxis is a professional tool for licensed CPA and accounting firm operators. The platform provides technology infrastructure and automation tools. It does not provide accounting, tax, legal, or professional advisory services. The licensed CPA or accounting professional using the platform remains solely responsible for all professional judgments, client deliverables, and compliance with applicable professional standards.
Month-to-month: Subscriptions are billed monthly on a calendar-month basis unless the annual option is selected. Month-to-month subscriptions may be cancelled at any time with 30 days written notice to billing@rtwadvisors.net.
Annual: Annual subscriptions are billed upfront for 12 months. Annual subscribers receive a discount equivalent to approximately 2 months of service (approximately 15% off the monthly rate). Annual subscriptions may be cancelled with 30 days notice; no refund is issued for the remaining prepaid months unless RTW Advisors is the cause of material service failure.
Founding cohort rate lock: The first 10 firms to subscribe are designated as founding cohort members. Founding cohort members retain their subscription price at the rate in effect at the time of their initial subscription for as long as their subscription remains active and in good standing. Rate lock is forfeited upon cancellation and not reinstated upon resubscription.
Auto-renewal: Subscriptions automatically renew at the end of each billing period (monthly or annual) unless cancelled as specified above. We will send a renewal reminder 14 days before each annual renewal.
All fees are billed in advance via Stripe. By subscribing, you authorize RTW Advisors to charge your payment method on file at the start of each billing period. Payments are due immediately upon invoicing. Failed payments will result in a 7-day grace period during which you may update your payment method. After the grace period, service may be suspended. Accounts suspended for non-payment that are not resolved within 30 days may be terminated.
All prices are quoted in US dollars. We do not currently offer pricing in other currencies.
One-time setup fees are billed at the time of initial subscription and are non-refundable after onboarding work has commenced.
You own your data and your clients' data at all times. RTW Advisors and Praxis act as data processors on your behalf. We process data only to provide the Praxis service as described in our Privacy Policy. We do not sell, share, or use your clients' financial data for any purpose other than providing the Praxis service to your firm.
You represent and warrant that you have obtained all necessary authorizations and consents to provide client data to the Praxis platform for processing.
Praxis provides technology tools and automation infrastructure. It does not provide accounting, tax, legal, financial advisory, or professional services. The licensed CPA or accounting professional using the platform remains solely responsible for: (a) all professional judgments, (b) client deliverables, (c) the accuracy and completeness of financial records, (d) compliance with all applicable professional standards including GAAP, tax regulations, and state CPA licensing requirements, and (e) all client communications delivered through the platform.
To the maximum extent permitted by law, RTW Advisors' aggregate liability arising from or related to this agreement shall not exceed the total fees paid by the Subscriber in the 12 months preceding the claim.
RTW Advisors shall not be liable for indirect, incidental, special, punitive, or consequential damages, including loss of profits, loss of clients, or loss of data, even if advised of the possibility of such damages.
The platform includes human approval gates by default. The Subscriber assumes responsibility for configuring approval thresholds and for any consequences of autonomous processing they have explicitly enabled.
You agree to use Praxis only for lawful purposes in connection with operating a legitimate accounting or CPA firm. You agree not to:
Either party may terminate this agreement with 30 days written notice. RTW Advisors may terminate immediately for material breach, non-payment after the grace period, or use of the platform in violation of Section 6.
Upon termination for any reason, you will receive a full data export (CSV for transaction data, PDF for workpapers and reports) within 14 days of termination. RTW Advisors will delete your firm's data within 30 days of the export delivery date, except as required by applicable law or legal holds.
Setup fees are non-refundable upon termination initiated by the Subscriber.
RTW Advisors targets 99.5% monthly uptime for the Praxis platform, excluding scheduled maintenance windows (communicated 48 hours in advance) and events outside our reasonable control (force majeure, third-party infrastructure failures).
During the founding stage, no financial SLA penalty applies. We commit to communicating outages promptly and resolving them with urgency. As the platform matures, we will introduce formal SLA credits in a subsequent version of these Terms.
RTW Advisors may update these Terms from time to time. Material changes will be communicated via email at least 30 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Fulton County, Georgia, and both parties consent to the personal jurisdiction of those courts.
